Eurindustrial N.V. is an independent property investment company that invests in logistic properties in the Netherlands. The company does not act as developer of properties for own account and risk. Its investment policy is mainly directed at realising direct investment profits based on rental income.  

Shareholder Accession And Retirement

Shares in Eurindustrial N.V. are only issued to institutional investors in amounts of €500,000 and upward. The shares can be acquired on the first day of each month at net asset value plus an accession fee of 0.5%. The net asset value per share is determined on the first day of each month. It reflects the equity of the company per share, increased by the investment result per share for the current financial year and by any dividends payable. The company’s shares are not listed on a stock exchange. The price of the shares is therefore strictly determined on the basis of the net asset value of the underlying property portfolio.
 
Eurindustrial N.V. thus accommodates the need among institutional investors to invest indirectly in real estate, allowing the purchase of shares in funds that specialise in the sector, while maintaining the valuation methodology for direct investments in properties. 

Participants are free to transfer their shares to third parties, with due regard to the provisions regarding shareholder accession and retirement contained in the articles of association and following written permission from the Board of Management. In given circumstances, the company will act as buyer of its own shares, barring unforeseen circumstances. 

Capitalization

The investments are financed for approximately 40% by means of borrowed capital. This percentage may be departed from should interesting investing options arise, provided that there is a realistic possibility of generating new equity capital through the placement of new shares.
 
Based on its status of investment institution under the Corporation Tax Act, the company must maintain equity capital equal to at least 40% of the taxable book value of the property portfolio.
